Terms of Service

These terms govern your use of Untitled Management Software (“UMS,” “we,” “us,” or “our”), a student productivity app for organizing courses, schoolwork, notes, schedules, events, reminders, imports, and study plans.

Using UMS

You may use UMS to organize your schoolwork. You are responsible for using the app lawfully, keeping your account secure, and checking important deadlines against official school or instructor information. UMS is intended for users who are at least 16 years old.

UCD and Palomar autumn 2026 access

Eligible users verified with an address whose domain is exactly ucdconnect.ie may receive ucd_autumn_2026 access. Eligible users verified with an address whose domain is exactly student.palomar.edu may receive palomar_autumn_2026 access. Both offers run through 17 January 2027 without requiring a payment card. A verified qualifying secondary email added to an existing account also qualifies. Personal-email users entering through either campus journey receive waitlist access only until a qualifying address is verified.

Full promotional access ends at 00:00 UTC on 18 January 2027. A 14-day read-only grace period then permits reading, account management, billing, and export but not changes to content. After the grace period ends at 00:00 UTC on 1 February 2027, ordinary subscription options are shown. UMS does not delete account content merely because the promotional period ends.

If an eligible user already has a paid UMS subscription, student access begins immediately and UMS will attempt to stop renewal at the current paid period end. UMS does not issue an automatic refund. A current paid subscription provides full access regardless of promotional phase.

Other subscriptions and billing

Outside the UCD and Palomar promotional journeys, the existing 14-day trial and ordinary subscription flow remain available. Prices, periods, renewals, cancellations, and available plans are shown before purchase. Payments are processed by Stripe or another payment provider. Fees are non-refundable except where required by law.

If you are in the European Union or another jurisdiction that gives consumers a right to withdraw from an online purchase, starting a paid subscription gives you immediate access to it. Before your payment is confirmed, you are asked to acknowledge that you are waiving your standard 14-day right to withdraw in exchange for that immediate access. We keep a record of this acknowledgment, including the date and the wording you were shown, as described in our Privacy Policy.

Your content and control

You keep ownership of content you add. You permit UMS to store and process it as needed to provide, maintain, secure, and improve the service. Imported items and rule-based study-plan tasks can be inspected, edited, moved, completed, or deleted. You remain responsible for checking their accuracy.

Calendar, Brightspace, and Canvas imports

Google Calendar sync can import events from a student-selected calendar, including “UCD Timetable.” Brightspace agenda PDFs and Canvas .ics calendar files are parsed locally in the browser, are not uploaded or retained by UMS, and require review before saving. UMS does not request Canvas credentials or a Canvas feed token. Imports and syncs may be incomplete or inaccurate. Students must review imported information and check official sources before relying on it.

Study plans for exams, assignments, and projects use predictable rules based on student-selected dates, estimated effort, available weekdays, and maximum daily time. If the available capacity is insufficient, UMS reports unscheduled work and requires acknowledgment before saving a partial plan. Study plans are not academic advice or AI-generated recommendations.

AI-free service

UMS does not send your schoolwork to generative-AI models or large-language-model services. UMS does not provide an AI chatbot, generate or rewrite notes, or use AI to make opaque academic recommendations. This describes the autumn 2026 product and may be updated only with clear notice and corresponding policy changes.

Waitlists and communications

UCD incoming-student, Palomar incoming-student, and iOS waitlists are separate and optional. By checking the relevant consent box, you agree to receive updates for that list. You may unsubscribe at any time. Joining the iOS waitlist does not promise an App Store release date or access. We keep a record of each consent or unsubscribe choice you make on a waitlist, including the date and the wording you were shown, as described in our Privacy Policy.

Acceptable use

Do not misuse UMS, interfere with the service, attempt unauthorized access, upload unlawful or harmful content, violate intellectual-property rights, or use UMS in a way that could harm the service or other users.

Third-party services

UMS relies on providers for authentication, hosting, billing, email delivery, optional calendar sync, databases, and infrastructure. Those providers have their own terms and policies. Independent student app. Not affiliated with or endorsed by UCD, Palomar College, D2L, Brightspace, Instructure, or Canvas.

Disclaimers and liability

UMS is provided “as is” and “as available.” We do not guarantee uninterrupted operation or the accuracy of every reminder, import, sync, study-plan task, or deadline. UMS is not a substitute for official systems, syllabi, or instructor communication. To the fullest extent permitted by law, UMS and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, lost data, missed deadlines, academic outcomes, or service interruption.

Operator, termination, changes, and contact

UMS is operated by Elijah Lopez, trading as Untitled Management Software, an unincorporated business presently offering the service in Ireland and the United States. You may stop using UMS or delete your account. We may suspend access for violations, security risk, nonpayment where applicable, or unlawful use. We may update these terms and will revise the date above and provide notice when appropriate. Questions may be sent to [email protected].
